In order to become a User of the Qooid Portal, it is necessary to first read and accept the GENERAL CONDITIONS OF USE and PRIVACY POLICY. Failure to do so will make it impossible to register and use our services.

GENERAL CONDITIONS OF USE OF THE QOOID PORTAL AND ASSOCIATED SERVICES 
1. Premises
Given that:
- the Provider is a company specialising in the web industry and has created a portal on the web to facilitate the dissemination of works protected by copyright;
- the User declares having reached the legal age, this being a requirement for registration, also in order to create and manage their own profile and to access the portal services;
- the User wishes to use the portal, the services of which are only accessible to registered Users, and in some cases, also subject to the signing of another agreement;
- the Provider offers Users a number of services as a mere intermediary between registered Users; within this context it is henceforth stated that the Provider assumes no obligations nor exercises rights which derive from the relationships which may be established between Users, except those described in accordance with these conditions ;
- the User has all the necessary access, connections, telecommunications and software equipment required to use the service and exploit the service offered by the Provider;
- the cost of using the telephone line to connect to the Portal and the necessary equipment shall be borne by the User;
- the premises and any attachments referred to form an integral and substantial part of these conditions.

2. Definitions
Qooid Portal or Portal: means the software with WEB interface developed by Megamente to facilitate the dissemination of copyright works on the web.
Work: means any creative works in the field of science, literature, music, visual arts, architecture, theatre and cinema, in whatever mode or form of expression.
Copyright: this refers to the right through which the law protects creative works.
Provider: means, unless otherwise agreed, Megamente S.r.l. with registered offices in Via S. Marco 33 51016 Montecatini Terme (PT) vat number 01422850477, Economic and Administrative Index number 148356.
User: any person not registered.
Registered User: any person who, having registered on the Portal, becomes holder of a personal profile and obtains access to the services offered.
Uploader: the registered User who enters into, as author and/or in any case holder of the rights to economic exploitation of the work, a publishing and distribution contract with Megamente.
Publication: process by which content is uploaded into the Portal.
Distribution: process consisting of the sale of the works uploaded onto the portal to registered Users who carry out the download process in accordance with the conditions established in the contract;
Hosting: a service by which the Provider offers registered Users a web space onto which to upload data and content.
Download: operation by which Megamente allows Users registered on the portal to download the work;
Licence: contract through which the uploader grants the User certain rights of use of the work, indicating the limits and conditions under which these may be exercised.

3. Subject of  the agreement
This agreement sets out the conditions of use for the Portal Quid, also defining the services offered therein by the Provider through the web space by the latter, free of charge, to this end made available to registered Users.
Megamente is not an active party in the operations that may occur via the the Qooid portal but operates as an intermediary between registered Users in order to enable them to use the services indicated within these conditions and for which the Provider is exclusively responsible in the manner described below.
The Provider reserves the right to modify these general conditions of use at any time, informing Users thereof on its home page. In this case the changes will be effective for the purposes of the law, without the need for specific and additional approval and in any case 10 days after their publication. Economic changes are not covered by these amendments since they fall within the contractual will of the parties other than the Provider. Any tolerance by Megamente of behaviour that is in violation of the provisions of these terms shall not constitute a waiver of the rights held by that party on the basis of the above. Where any of the conditions is found to be invalid or unenforceable, any invalidity or unenforceability shall not extend to the remaining contractual clauses.

4. Obligations regarding the use of the portal and its content
All Users must use the Portal in strict accordance with these terms and conditions.
The User agrees not to use the Portal and related services for illegal purposes or contrary to these terms and conditions of use, or in a manner that could damage its functionality, making it unusable, causing overloading, deterioration and/or interference for use of the same by other Users.
Any conduct is prohibited which, even as mere attempts, could result in unauthorised access to the Portal, to the services, to other accounts, to systems or networks connected to the same through operations of hacking, password mining or any other means.
The User may not use the portal for commercial or advertising purposes without the express permission of the Provider.

5. Copyright and Trademarks
Unless otherwise and specifically provided, all content available on the portal may only be used for informational and/or personal purposes; any other use must be with the prior express approval of the Provider or, if different from this, of the holder of the rights in any way exercisable thereupon; it is expressly forbidden to make any commercial or distributive use on other computers; it is also forbidden to make changes to the content on this portal.
The reproduction of graphics of the portal of or any other site developed, licensed, controlled or owned by that company is also prohibited. No logo, graphic, sound or image used on the site may be copied or reproduced without the express approval of the company.
The content of this site is protected by trade agreements and its use conforms to the laws on trademarks, unfair competition and other laws and may not be copied or imitated.
The names of products and companies which may be mentioned on the Qooid portal may be trademarks of the respective owners, and as such unauthorised use of the same is expressly forbidden.
The software for the portal including updates, which may be provided or otherwise made available to the User under this agreement, shall be made or acquired by the Provider, that holds all rights of commercial use and this agreement affords no right to the User on the same or on the relevant source codes. It is expressly forbidden for the User to perform those activities referred to in art. 64-bis Law 633/41, such as, but not limited to: the reproduction, extraction, translation, adaptation, distribution to the public in any form or transfer to third parties of the software for whatever reason, whether for payment or for free. For the entire duration of the agreement and also subsequently, without the express permission of the Provider, the User is prohibited from performing operations on the software, even for the correction of any faults and/or defects, and activities of duplication, dismantling, processing, editing of software. The User will never acquire the property of the Portal. The source codes and all rights are the exclusive property of the Provider.
All rights not expressly granted herein are reserved.
Any contrary behaviour by Users entitles the Provider, after deletion of the profile, to take action in the appropriate manner and form.

6. Means of registration on the portal
Registration on the portal is free of charge and at no cost to the User.
The User can register on the portal using the appropriate form, ensuring the required information is entered and especially that indicated as mandatory.
The User agrees not to provide false or equivocal data or false information, assuming responsibility ultimately for any possible consequences.
Success of the registration is subject to the acceptance of these general conditions as well as having read the privacy policy and having given consent to the processing of data provided.
Registration is performed only once and is valid for access to all the services of the portal. It can only be renewed in the event of cancellation at the discretion of the User as described in paragraph 7, letter a) below.
Cancellation or possible renewal of the registration of the User is also submitted to the unquestionable judgment of the Provider.

7. Services and modes of delivery
Access to the portal and to the services offered is permitted to all Users who have reached the legal age.
Subject to the conditions provided in the conditions of use of the portal for unregistered Users, the Provider guarantees, in the manner described herein, only to those subjects who have successfully completed the registration procedure specified in paragraph 6), the following services:
a) Personal profile management:
Registration on the portal involves the activation of a personal profile that the User can manage independently through the authentication details supplied and/or received during registration.
The User, within the limits established and responsibilities assumed with the signing of these conditions shall have the option to include within their profile the information they deem useful and necessary, without the Provider carrying out preventive checks.
The User can decide whether to set their profile in such a way as to be visible to all portal Users (public profile), or to restrict visibility and to limit it to a narrower scope of subjects (mynetwork or private profile), possibly being able to exercise this option also in a limited form to certain information entered.  In any case, however, the nickname, name and surname of the User will always be visible to all portal Users, whether registered or not, until eventual deactivation of the account.
At any time and without any charges or special formality of communication, the User can remove their personal profile, performing this through a special procedure within the Tools of the profile. This would involve the User having to re-register should they decide to take advantage of additional services being offered by the portal, as well as acceptance of the conditions used in the manner therein indicated.
There is also the "Report Abuse" facility, through which the registered User that perceives, including to their detriment, use of the Portal and services which are improper and illegal or otherwise contrary to these general conditions, may inform the Provider in accordance with the procedures outlined on the Portal by entering the information therein requested, including their personal data, selecting that relating to the actual event.
Following such notification, the Provider will actively seek to carry out the necessary checks, being able at any time and also at its sole discretion, to deny access to the portal, and suspend or exclude the visibility of the User profile to which the alert refers, until an outcome to the investigation is reached.
The message cannot be anonymous.
b) Messaging service
The messaging service can be used by all registered Users. If the User does not wish to be contacted through this tool, they need only indicate this via the special function available on the portal. At any time the User may alter their choice and halt or reactivate the option waived in the afore-mentioned manner.
It is absolutely forbidden to use the messaging service to send promotional and/or commercial information or messages the content of which is offensive, discriminatory or otherwise unlawful.
c) Newsletter
The Provider offers registered Users a newsletter service, which involves the sending of an e-mail the purpose of which is to inform Users of any new services, tools or features offered by Megamente through the Qooid portal, and to provide alerts of new content and to promote and/or advertise certain events and/or products related to the subject matter of copyright.
The User can activate this service through the portal. It is possible to deactivate this, in accordance with the procedures outlined in the information provided pursuant to art. 13 of Legislative Decree no. 196/2003, by selecting the appropriate option at the bottom of every newsletter, and proceeding as indicated above.
d) Invite a friend
The User may invite non-members to access and register on the Qooid portal.
In order to take advantage of that service, the User need only use the command on the web page of the portal to which access is only allowed to registered Users and to then enter in the space provided for this purpose the email address of the person to whom they want to send the invitation and possibly the text of such invitation.
Sending thereof is subject to having read the information provided ad hoc by the Provider.
Megamente will deal with the request and send to the email address provided by the User a standard message, where, among other aspects, the name of the person who requested sending of the invitation will be shown.
e) Information sharing and file sharing
Using the profile assigned to registered Users, and depending on the option of visibility directly chosen by the same, the Provider allows the User to share personal data, information and files.
The sharing shall be considered extended only to authorised content and limited to those services and facilities offered by the Qooid Portal.
The Provider assumes no responsibility regarding the possible sharing of data with other platforms and social networks, and as such the User is required to be familiar and comply with the conditions of use.
The User may not obtain or try to obtain any materials or information through means not intentionally made available or provided for through the Portal or services.
The collection and dissemination of personal data and the information of other Users in order to pursue commercial purposes or in any case other purposes other than as provided in these terms and conditions is forbidden.
The User assumes full ownership and in any case responsibility in relation to the information provided through the portal; the same also assumes full responsibility for the use of data and information of third parties that may be published and/or communicated through the services offered by the portal.
In any case it is forbidden to post content in violation of the rights of third parties of any kind, protected by specific legislation (for example, national privacy rules); the User shall be solely responsible for the consequences arising from the behaviour described above.
Subject to the personal data of Users gathered by the Provider with the signing of these general conditions, in relation to which Users are invited to read the privacy statement attached, the former assumes no obligation to preserve and/or store any information provided by the User and is not liable for any damage suffered by Users due to the loss of such data or for misuse by third parties. The User uses the services at their own risk.
f) Upload of the work
The option to publish works protected by copyright is subject to the stipulation of a special agreement between the registered User and the Provider, to be signed through the portal during upload of the file.
With regard therefore to the mode of delivery of such service, reference is made to that specifically indicated in the contract for publication and distribution of the work.
g) Download Service
Registered Users interested in content which can be downloaded from the portal may download published multimedia files at no charge or for a fee, depending on the license granted by the author that published the work on the portal.
The registered User who has accepted these conditions, may access the files of the uploaded files where the type of work, its title, the moral author, the holder of the right to use the work if different from the moral author, the ability to download free of charge or for a fee, depending on the type of license granted, and possibly, where applicable, the price determined is indicated and download the selected work.
Through selection of the file, the User accepts the conditions established by the author in the license chosen.
The download service is active on the portal 24 hours a day.
h)	Payment Service
Download operations may not be effected until the User has completed the payment procedures provided by the Provider when the subject of the download is a work for which the uploader has issued a license for a fee.
Payment of the amount indicated as "price" will be paid by the User through the means managed by the Provider through the media, by express provision to that authorised by the author and/or in any case by the holder of rights over the work by way of signing of the upload contract with Megamente.
To make the payment of the amount due, the User must possess a credit card and be owned by the same.
Payment must be made through the PayPal service, used by the Provider.
A User that has made a payment will receive a non tax receipt from Megamente.
The invoice to the User must be issued directly by the uploader if and as required by applicable law for that purpose.
The Provider undertakes to ensure the functioning and management of the service that allows the User to make payment through pay pal. In case of delay in issuing the invoice by the uploader however, no responsibility can be attributed to Megamente that acts as a mere intermediary in the provision of such service. The Provider is, however, obliged to seek to enforce the right to a refund of the User when, despite payment, the download requested is not possible for reasons directly attributable to Megamente.
The User henceforth concedes, and in any case with the signing of these conditions, authorisation to the Provider to administer the  payment transactions, acknowledging its role as a mere intermediary in the delivery of its service.

8. Obligations and rights of the Provider
In relation to the User profile management service:
the Provider agrees to activate a profile for each registered User, providing the necessary entitlements and in accordance with the option of visibility chosen for all or part of the information contained herein. The Provider reserves the right to delete the profile at its sole discretion, also following notifications received from other Users and examined with regard to their veracity and validity. The Provider may also decide to temporarily suspend the profile when issues arise concerning the registered profile and until final checks.
The Provider is not subject to a general obligation to monitor the information and content posted by Users and stored on the web space made available by Megamente, nor with regard to a general obligation to actively research facts or circumstances that indicate the presence of any illegal activity by the Customer.
The Provider does not check content prior to posting on the portal but may carry out checks on the same following reports from Users in order to verify compliance with the obligations assumed by the customer upon signing of this contract and general conditions of use.
The Provider will promptly provide, upon request by the competent authorities, the information in its possession that will allow identification of the User, in order to identify and prevent illegal activities. It will also inform the relevant judicial or administrative authority holding powers of supervision, should it become aware of these presumed activities or illegal information concerning the User.
The Provider undertakes to take all appropriate security measures to avoid the work being removed or damaged, altered or tampered with;  however, no responsibility can be identified in relation to the Provider where any loss or damage to the work occurs due to force majeure or unforeseeable circumstances and in any case for reasons not attributable to the Provider, such as, for example but not limited to, hacker attacks on the portal.
The Provider guarantees the above and also under the effects of Legislative Decree. no. 196/2003, ensuring compliance with the obligations therein and, in particular, with those relating to the provision of logical and physical security measures under articles 31 et seq of the legislation referred to, their upholding, maintenance and assistance in accordance with the law. The security operations provided by the Provider are organised in the manner prescribed by the Security Policy Document adopted pursuant to law.
In relation to the messaging service:
the Provider commits to offering the system which allows registered Users so requesting to deactivate that service and to not be contacted by other Users of the portal.
In relation to the newsletter service:
the Provider guarantees its service only when the User has expressly subscribed thereto also through appropriate information, and also assumes the obligation to allow, with the means deemed reasonable by applicable law, the User to disable this service in the manner set out in paragraph 7 c) hereof.
In relation to the invite a friend service:
the Provider undertakes to deal with the "invite a friend" request made by the User as specified in paragraph 7 d) and to send to the e-mail address indicated by the User a standard message where the name of the person who requested sending of the invitation will be indicated. It will also will inform the recipient of the User's intentions and the types of data used for the service subscribed to.
In relation to the sharing service:
the Provider guarantees the technical procedures for the sharing of data, files and content based on those choices of visibility made by the User, without being subject to any general obligation to monitor the information and content published and stored on the web space made available to registered Users, without prejudice to the obligations to which the Provider is subject under Legislative Decree no. 70/2003.
In relation to the upload service:
the Provider undertakes to comply with the requirements under the appropriate publication and distribution contract that the registered User must sign in order to upload the work onto the portal and to use the web space offered by Megamente, under the terms and in the manner prescribed above which is referred to in its entirety.
In relation to download service and payment
the Provider offers the download service in the manner described above and in compliance with any necessary permits required by national legislation for business transactions.
The Provider undertakes to provide the system such that download of the work can only be conducted by Users who have performed the procedure for registration on the portal (so-called "registered Users") and signed the relevant general conditions of use.
The download service is active on the portal 24 hours a day, subject to any interruption or suspension independent of the technology made available by the Provider, or which is caused by force majeure or unforeseeable circumstances.
The Provider undertakes to assist Users in the event of any malfunction of the system (for instance, but not limited to, the event where the download does not commence or is interrupted without the content being fully downloaded), this obligation instead being excluded in all those cases where the problem is attributable to the conduct of the Uploader (therefore, for example, if this were to upload files whose size prevents or makes the operation of download difficult or the content uploaded is damaged).
In the event of notifications from Users, the Provider undertakes to reply within 24 hours, focussing on the assistance time required. The Provider is responsible for the success of the download when linked to the technology made available, responding to Users for any failure attributable to the technology used, but excluding harm caused by the action of third parties, also under the direct and/or indirect control of the User, or by unforeseen and unforeseeable causes in the normal due diligence expected of the Provider. Equally where the Provider is engaged in operations of maintenance, assistance and technological upgrading of the service which may affect regular use of the same, undertaking to notify for the purpose through reasonable means (through, for example, alerts published relating to the event on the Portal), those Users affected.
The Provider guarantees the same for the fee paying service according to the features permitted by the system made available to Users, and further described in paragraph 7, letter I above). The same is however only liable in relation to the obligations attributable to its activities of brokerage, recognised and authorised by Users.
In any case, those obligations and rights arising from the contract of distribution which may be signed between the registered Users and the Provider are without prejudice.

9. User Rights and Obligations
Those obligations and rights arising from the contract of distribution which may be signed between the registered Users and the Provider are without prejudice.
In relation to the service of User profile management:
the User assumes full responsibility for the information provided during registration and entered on their profile, ensuring veracity of statements.
The User agrees to keep their login details for their profile with the required diligence, assuming the obligation neither to transfer nor to disclose them to others. The User indemnifies the Provider from any liability for any damage suffered by the User or third parties due to abuse, misuse or abuse of login details, attributable to anyone, as well as in the case of loss or theft. The User agrees to immediately and exclusively notify the Provider of any modification, theft, loss, or appropriation in any capacity by a third party of password or identification code.
The User is responsible for the information provided in their profile and also for its eventual preservation and custody, relieving the Provider of its responsibility for this purpose.
In relation to the messaging service:
the User agrees not to use the messaging service to send promotional and/or commercial information or messages the content of which is offensive, discriminatory or otherwise unlawful.
In relation to the invite a friend service:
the User agrees to use this service only where authorised by the third party to disseminate and/or communicate personal data and in any case assumes responsibility for the same.
In relation to the sharing service:
the User agrees to use the portal and the services offered therein to share only that data and those files to which s/he has access to and for which sharing is permitted.
The sharing can be extended to other platforms or social networks, but in this case there being no suggestion of any liability of the Provider and the User being required to be familiar with and comply with the conditions and obligations therein provided.
In relation to the download service:
the User agrees to view the file of the work file prior to its download, also verifying the license granted on the same by the uploader.
Through indication of the work, the User acknowledges having read all the information concerning the content to be downloaded and expresses their intention to acquire the rights to use of the work as stipulated in the license thereto related.
In relation to the payment service:
the User agrees to pay the price indicated by the uploader in the file of the work whose rights are being sold with a license for a fee.
To this end, the User must pay using a credit card of which they are holder.
Payment must be made through the PayPal system, which can be accessed directly from the site according to the procedure established by the Provider on behalf of the Uploader.
The User is responsible for the proper use of the system made available by the Provider, taking all due care to ensure its functionality for the part referred to him/her.

10. Limitations of liability
The Provider is liable neither to the User nor to entities directly or indirectly related to the same User: for delays, disruptions or suspensions of the Portal, due to third parties, or caused by force majeure or unforeseeable circumstances (including, merely by way of example, and not limited to: suspension, slowing down or malfunction of the telephone service or electricity supply, malfunction of the Internet or Internet service provider or the software used to run the Portal, lockouts or strikes, also of the Provider personnel, hindrances or obstacles due to provisions of law or by acts of foreign national authorities, legal provisions or acts or third party actions or other causes not directly attributable to the Provider); an increase or not in business as a result of User activity; due to tampering or intervention by third parties relating to the services or equipment used by the Provider or by the User; inappropriate use of the Portal by the User; malfunctioning of the connection equipment utilised by the User; non-compliance and/or obsolescence of equipment or programs which the User or third parties have; problems or inefficiencies relating to hosting and domain; as a result of service malfunctions, data loss, accidental leakage of personal or sensitive data, and any other type of damage that has occurred as a result of attacks by hackers, thieves, crackers, viruses, etc.
The Provider is not responsible for the information posted by registered Users, nor for the content of works uploaded, nor for any breach of rights of other parties or damages, including indirect, consequential to this, or for any other damages of any kind, also resulting from the loss of the right of use, loss of information or profits, or from the non compliance with the contract, negligence or other harmful actions, arising from or in any way connected with the use, or information available on, the portal.
The User accepts that the Provider shall not be liable for omissions or errors that may be contained in the materials that pass through the Portal. The User acknowledges that the uploading and/or downloading of any programs, files, information from the Net is their own responsibility.

11. Applicable law and reference language
The parties recognise as exclusively valid, for all the articles and clauses of these conditions, Italian law, with guarantee of the application of mandatory rules that may be in force in the country of the User, when applicable also to the above.
The reference language is Italian. At the express request of the customer, the parties may choose the English language; in case of any discrepancy between the English translation and the Italian version, the literal doubt shall be resolved in favour of the latter; this also applies with respect to any updated versions of any of these conditions.

12. Jurisdiction
All disputes concerning this agreement lie within Italian jurisdiction, exclusive jurisdiction is held by the Court of Pistoia, sub-offices of Monsummano Terme, with guarantee of the application of mandatory rules where also applicable to these conditions.

Information pursuant to art. 13 Legislative Decree 30.06.2003, no. 196

Megamente S.r.l. with offices in (51016) Montecatini Terme (PT) Via San Marco 33, as data controller, according to the effects of Legislative Decree 30 June 2003 no. 196, hereby informs users of the Qooid portal of the purposes and methods of processing of data gathered, its scope of communication and the nature of the disclosure.

AIMS 
The personal information gathered from users, subject of handling, is processed and used directly by the Holder, in full compliance with the principle of fairness and lawfulness and of the provisions of law to allow registration on the Qooid Portal and access to the services duly described in "The General Terms of Use of the Qooid portal and related services", as well as for the instrumental purposes of fulfilling the activity performed by the owner to this end.
The data may also be processed to achieve the aims required by law, and for those purposes connected to any commercial and promotional communications; in any case, the processing of personal data shall take place in full compliance with the principles of lawfulness and fairness and with the provisions of law.

METHOD OF PROCESSING
The data processing is performed using computer media by the holder and the specifically designated appointees; the processing will be performed by employees of the company and by other parties used by the holder to perform the activity, with the guarantee that, in any case, the data will be processed in accordance with Legislative Decree 196/2003.

COMMUNICATION AND DISSEMINATION
The personal data gathered will be disseminated and communicated to third parties for the purposes represented and in any case bound to the processing described above.
In particular, identifiable personal data of the party concerned will be disseminated through the Qooid portal consisting of name, surname and nickname, and may be distributed and/or communicated to third parties, in addition to other personal data, where the visibility option selected by the party concerned so permits or if communication becomes necessary for the provision of the services that the party concerned wishes to use and/or for the conducting of activities functional with them.
Personal data may also be disclosed to third parties (such as, by way of illustration and not limited to: agents, promoters and promotion companies) for those purposes relating to any commercial or promotional communications.
In this case the use by third parties must still be in full compliance with the principle of correctness and the provisions of law.

RIGHTS OF THE PARTY CONCERNED
The party concerned may assert their rights as expressed by arts. 7, 8, 9 and 10 of Legislative Decree 30 June 2003 no. 196 by contacting the data controller. In particular, in accordance with art. 7, the party concerned may obtain confirmation of the existence or absence of personal data concerning them, even if not yet registered and its communication in intelligible form. The party concerned has the right to obtain indication: a) of the origin of the personal data b) of the purposes and methods of processing c) of the logic applied in case of processing with the aid of electronic instruments d) of the identity of the holder, of the managers and representative appointed under article 5, paragraph 2; e) of the subjects or categories of persons to whom the personal data may be communicated or who may learn thereof as appointed representative in the territory of the state, managers or appointees. The party concerned has the right to obtain: a) an update, rectification or, where there is an interest, the  integration of data, b) the cancellation, transformation into anonymous form or blocking of data processed unlawfully, including that which does not need to be kept for the purposes for which the data was gathered or subsequently processed c) certification that the operations in letters "a" and "b" were brought to the attention, also as regards their content, of those to whom the data was communicated or published, except in the case where such fulfilment is impossible or involves a use of means that is obviously disproportionate to the right protected. The party concerned has the right to oppose, in whole or in part, a) for legitimate reasons to the processing of personal data concerning them, even for the purpose of collection; b) to the processing of personal information for purposes of sending advertising or direct sales materials or for carrying out market research or commercial communications.

THE DATA CONTROLLER
